Terms of Use

These Terms constitute a legally binding agreement between you and TechOps Hub. By accessing our platform or using any of our services, you accept these Terms in full. Please read them carefully before proceeding.

  • You must be 18+ (or 16+ with parental consent) and legally capable of contracting under Kenyan law.
  • Membership fee is USD 15 (once-off). Payments are accepted both on-platform and off-platform — M-Pesa, bank transfer, international wire, and cash in-person.
  • Never pay to any account not officially communicated in writing by TechOps Hub. Fraudulent payment proofs will be reported to the DCI.
  • Course materials are for personal learning only — redistribution, reproduction, or AI training use is a copyright infringement.
  • Incubation participants grant TechOps Hub 7% equity (vesting over 2–3 years), ROFR, tag-along rights, and quarterly reporting obligations.
  • All Confidential Information exchanged on the platform is subject to a binding 5-year non-disclosure obligation.
  • Disputes are subject to 12-month limitation period and the exclusive jurisdiction of the High Court of Kenya, Nairobi.
  • TechOps Hub's aggregate liability is capped at the greater of amounts paid by you in the past 12 months or USD 100.
  • All these Terms are governed by the laws of the Republic of Kenya.

1. Introduction & Acceptance

These Terms of Use ("Terms") constitute a legally binding and enforceable agreement between you ("you", "your", "User", or "Member") and TechOps Hub ("we", "us", "our", or "the Company"), a technology education company, AI product studio, and start-up incubator headquartered in Nairobi, Kenya.

By doing any of the following, you conclusively and irrevocably accept these Terms in their entirety:

  • Accessing or browsing techopsshub.com or any associated sub-domain.
  • Creating an account, submitting a registration form, or completing any application.
  • Making any payment — whether through the platform or by any other channel — to TechOps Hub.
  • Enrolling in, participating in, or attending any programme, event, workshop, or cohort.
  • Submitting an incubation application or participating in the Incubation Programme.
  • Purchasing merchandise or placing any order through the Swag Shop.
  • Otherwise communicating with TechOps Hub for any purpose connected to our services.

If you are acting on behalf of a company, organisation, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and references to "you" shall include that entity.

If you do not agree to these Terms in their entirety, you must immediately cease all access to and use of our platform and services. Continued use of the platform constitutes ongoing and unconditional acceptance of the then-current Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, including but not limited to the Law of Contract Act (Cap 23), Consumer Protection Act, 2012, Computer Misuse and Cybercrimes Act, 2018, Kenya Data Protection Act, 2019, Copyright Act (Cap 130), Industrial Property Act (Cap 509), Companies Act, 2015, and the Value Added Tax Act (Cap 476).

These Terms are entered into electronically and are fully binding under the Kenya Information and Communications Act (Cap 411A), which recognises electronic agreements as legally valid and enforceable.

2. Definitions

In these Terms, the following definitions apply unless the context requires otherwise:

  • "Account" means the registered user account created on techopsshub.com.
  • "Company", "TechOps Hub", "we", "us", "our" means TechOps Hub and its directors, employees, agents, and permitted assigns.
  • "Content" means all text, graphics, images, audio, video, code, course materials, data, frameworks, and other information made available through the platform.
  • "Definitive Agreement" means the Incubation & Equity Agreement and/or Shareholders' Agreement to be executed between TechOps Hub and Founders.
  • "Founder" means any individual or team accepted into the TechOps Hub Incubation Programme.
  • "Intellectual Property Rights" means patents, trademarks, service marks, copyright, database rights, trade secrets, know-how, moral rights, and all other intellectual property rights, whether registered or unregistered, anywhere in the world.
  • "Platform" means the TechOps Hub website at techopsshub.com, its sub-domains, APIs, mobile applications, and all associated digital services.
  • "Services" means all training programmes, incubation services, events, merchandise sales, community features, and any other offerings provided by TechOps Hub.
  • "Venture" means any product, company, or business incubated through the TechOps Hub Incubation Programme.
  • "Working Day" means any day other than a Saturday, Sunday, or public holiday in Kenya.

3. Eligibility

To use TechOps Hub services, you must:

  • Be at least 18 years of age, or at least 16 years of age with verifiable prior written consent from a parent or legal guardian. By creating an account, you represent and warrant that you meet this age requirement. TechOps Hub reserves the right to require proof of age or parental consent at any time.
  • Have the full legal capacity to enter into a binding and enforceable contract under the Law of Contract Act (Cap 23) and the laws of any other applicable jurisdiction.
  • Not be subject to any court order, regulatory prohibition, international sanction, or other legal restriction that prevents you from entering into this agreement or using our services.
  • Provide accurate, complete, current, and truthful information at registration and update such information promptly whenever it changes. You remain solely responsible for all consequences arising from inaccurate registration data.
  • Not have been previously suspended, expelled, or permanently banned from TechOps Hub for any breach of these Terms, regardless of whether a new account is created with different credentials.

TechOps Hub reserves the unconditional right to verify eligibility at any time, to refuse service without obligation to provide reasons, and to suspend or terminate any account where eligibility requirements are not or cease to be met. Such termination shall not give rise to any claim for refund, compensation, or damages, except to the extent expressly provided in these Terms or required by Kenyan consumer protection law.

4. Accounts & Registration

4.1 Account Creation

Registration on the TechOps Hub platform requires email verification via a one-time password (OTP). You are solely and absolutely responsible for maintaining the confidentiality of your login credentials, the security of your registered email address, and for all activity — authorised or unauthorised — that occurs under your account. TechOps Hub shall have no liability whatsoever for any loss or damage arising from your failure to maintain the security of your account.

4.2 Your Obligations

  • You must provide truthful and accurate information during registration. Providing false, misleading, or fraudulent information may constitute an offence under the Computer Misuse and Cybercrimes Act, 2018 and the Penal Code (Cap 63).
  • You must notify TechOps Hub immediately at support@techopsshub.com upon becoming aware of any unauthorised access to your account or any security breach. Failure to notify promptly may affect your rights in relation to any resulting loss.
  • You must not share, sell, transfer, rent, lend, or otherwise permit any third party to access your account credentials or the platform under your identity.
  • You are solely responsible for all actions, communications, submissions, and transactions made through your account, regardless of whether they were authorised by you.

4.3 One Account Per Person

Each natural person may maintain only one active account. Creating multiple accounts to circumvent restrictions, bans, payment obligations, programme limits, or access controls is a material breach of these Terms and may result in immediate permanent suspension of all associated accounts, without refund and without prejudice to any other legal remedies available to TechOps Hub.

4.4 Account Suspension & Termination by TechOps Hub

TechOps Hub reserves the absolute and unilateral right to suspend, restrict, or permanently terminate your account — with or without prior notice, at our sole discretion — in any of the following circumstances (which are not exhaustive):

  • Breach or suspected breach of any provision of these Terms.
  • Failure to pay any sum due to TechOps Hub by the applicable due date.
  • Fraudulent, deceptive, or dishonest conduct in connection with our services.
  • Conduct that is or may be harmful, abusive, or reputationally damaging to TechOps Hub, its staff, or its community.
  • Commencement of insolvency proceedings, bankruptcy, or similar proceedings by or against you.
  • TechOps Hub ceasing to offer the relevant service or being required to do so by law.

Termination is effective immediately upon notice (which may be given by email to the registered address). Upon termination, your right to access the platform ceases immediately. TechOps Hub shall not be liable for any loss or damage caused by such termination. All provisions that by their nature should survive termination shall remain in full force and effect, including without limitation Sections on Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Dispute Resolution.

4.5 Account Deletion by You

You may request deletion of your account at any time by contacting support@techopsshub.com. Account deletion does not extinguish any outstanding payment obligations, any indemnification obligations, or any rights TechOps Hub holds in respect of content you have submitted or intellectual property you have licensed to us.

5. Membership, Fees & Payments

5.1 Membership Fee

Access to the TechOps Hub platform, learning resources, and community requires a one-time membership fee of USD 15.00 (or the Kenyan Shilling equivalent at the prevailing exchange rate communicated at the time of payment). This fee grants you a lifetime student membership, subject at all times to your continued compliance with these Terms. TechOps Hub reserves the right to introduce additional tier-based subscription plans or programme-specific fees, which will be communicated in advance.

5.2 Authorised Payment Methods

Payments to TechOps Hub may be made through the following official channels. Payments can be made both directly through our platform and through off-platform methods — all of which are fully recognised and valid, provided they are made to the official payment details communicated by TechOps Hub:

  • On-Platform Payments: where integrated payment functionality is available on techopsshub.com, payments may be completed directly through the platform's checkout system. All on-platform transactions are processed through secure, third-party payment processors and are encrypted in transit. TechOps Hub does not store payment card details on its servers.
  • M-Pesa (Safaricom):mobile money payments via Safaricom's M-Pesa platform, including Send Money and Paybill options. The specific M-Pesa number, Paybill number, and account reference will be communicated to you via official TechOps Hub email. M-Pesa payments are governed by Safaricom's own terms and conditions in addition to these Terms.
  • Bank Transfer:direct bank transfers in Kenyan Shillings (KES) or United States Dollars (USD) to TechOps Hub's designated bank account. Account details are communicated via official TechOps Hub email only.
  • International Transfers: international wire transfers and other cross-border payment methods (including services such as Wise, PayPal, or similar platforms) may be available and will be communicated on a case-by-case basis at the time of registration or upon request.
  • Cash Payments (In-Person): where expressly arranged in advance with a TechOps Hub representative, cash payments may be accepted at a designated in-person meeting point in Nairobi, Kenya. Cash payments must be accompanied by a signed and dated receipt issued by an authorised TechOps Hub representative. Verbal cash payment arrangements carry no legal weight.

Any payment made to an account, number, or individual not officially communicated to you in writing by TechOps Hub is made entirely at your own risk and will not be recognised or credited to your account. TechOps Hub accepts no liability for payments made to unauthorised parties, whether as a result of fraud, phishing, social engineering, or otherwise. You are solely responsible for verifying payment details before transferring any funds.

5.3 Payment Confirmation & Activation

Your membership, programme enrolment, or service activation is contingent upon receipt and confirmation of payment by TechOps Hub. Submission of payment does not constitute activation. TechOps Hub shall confirm receipt within 2 Working Days of verified clearance of funds. You bear sole responsibility for ensuring that payment is made correctly and in full.

Providing false, fabricated, or manipulated proof of payment — including doctored M-Pesa screenshots or falsified bank receipts — constitutes fraud and a criminal offence under the Penal Code (Cap 63) and the Computer Misuse and Cybercrimes Act, 2018. TechOps Hub will report all suspected instances of payment fraud to the relevant law enforcement authorities, including the Directorate of Criminal Investigations (DCI), and will pursue full civil and criminal remedies.

5.4 Late Payment & Outstanding Balances

Where any amount is due to TechOps Hub and remains unpaid after the specified due date, without prejudice to any other rights or remedies:

  • Interest: interest shall accrue on the overdue amount at the rate of 2% per month (or the maximum rate permitted by applicable Kenyan law, whichever is lower), compounded monthly from the due date until the date of actual payment in full.
  • Suspension: TechOps Hub may suspend your access to the platform and all services with immediate effect until all outstanding amounts (including interest) are paid in full.
  • Debt Recovery Costs: you shall be liable for all reasonable costs incurred by TechOps Hub in recovering any overdue amount, including legal fees on a full indemnity basis, collection agency fees, and court filing fees.
  • Set-Off: TechOps Hub may set off any amounts owed to it by you against any amounts it owes to you, without prior notice.

5.5 Payment Disputes

Any dispute in relation to a payment, charge, or invoice must be raised in writing to legal@techopsshub.com within 14 calendar days of the date of the charge or invoice. Disputes raised outside this window are irrevocably waived. TechOps Hub will investigate all valid, timely disputes in good faith and respond within 10 Working Days.

5.6 Pricing Changes

TechOps Hub reserves the right to adjust membership fees, programme fees, and merchandise prices at any time. Price changes will not affect access or services that have already been paid for and confirmed. At least 30 days' written notice will be provided to registered users before any increase in the membership fee takes effect.

5.7 Currency & Exchange Rate Risk

Fees quoted in USD are illustrative. Where payment is made in Kenyan Shillings, the applicable exchange rate is that communicated by TechOps Hub at the time of the transaction. TechOps Hub shall not be responsible for any loss arising from fluctuations in foreign exchange rates, bank conversion fees, or international transfer charges. All such costs are borne entirely by you.

5.8 Taxes & Levies

All fees quoted are exclusive of applicable taxes unless otherwise stated. Where required by law — including under the Value Added Tax Act (Cap 476), the Tax Procedures Act, 2015, and Kenya Revenue Authority guidelines — applicable taxes will be communicated and collected. You are solely responsible for all taxes levied on you by your own jurisdiction in connection with payments made to TechOps Hub.

5.9 Refund Policy

All fees paid to TechOps Hub are non-refundable except as expressly provided below or as required by the Consumer Protection Act, 2012:

  • Membership fee (pre-activation): if you have paid the membership fee but your account has not yet been activated and you have not accessed any programme materials, you may request a full refund by written application to support@techopsshub.com within 7 calendar days of payment. No refund shall be payable after account activation or access to any materials, whatsoever.
  • Materially defective or mis-described services: where services provided are materially and demonstrably different from what was formally represented at the time of purchase, you are entitled to remediation, including replacement, rectification, or a refund, in accordance with the Consumer Protection Act, 2012.
  • Event registration fees: refunds for paid events are subject to the cancellation terms in Section 10.

All refund requests must be submitted in writing to support@techopsshub.com with: (i) full name; (ii) registered email address; (iii) original payment confirmation or receipt; (iv) a clear statement of the reason for the request. TechOps Hub reserves the right to assess each request individually and its decision shall be final, subject to your statutory rights. Approved refunds will be processed within 14 Working Days via the original payment method.

6. Training Programmes & Learning Platform

6.1 Programme Enrolment

Enrolment in TechOps Hub training programmes — including the AI School, Technical Writing, Certification programmes, and Labs — is subject to application, review, and acceptance at our sole discretion. Acceptance is not guaranteed. TechOps Hub reserves the absolute right to limit enrolment numbers, set and vary admission criteria, and decline applications without any obligation to provide reasons.

6.2 Programme Content & Licence

All curriculum, course materials, frameworks, methodologies, assessments, recordings, templates, and resources made available through our platform are the exclusive Intellectual Property of TechOps Hub or its licensors, and are protected under the Copyright Act (Cap 130) and applicable international copyright treaties. You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use these materials solely for your personal, non-commercial learning purposes within an active, paid enrolment. All rights not expressly granted are reserved.

6.3 Prohibited Uses of Course Materials

  • Reproducing, distributing, publishing, sublicensing, selling, or making available course content to any third party in any form or medium.
  • Recording, screenshotting, transcribing, or copying live sessions, webinars, or workshops without prior written authorisation from TechOps Hub.
  • Using course content, frameworks, or methodologies to develop, launch, or improve any competing educational product, programme, course, or training service.
  • Sharing login credentials, programme access links, or account access with non-enrolled individuals, including colleagues, friends, or family members.
  • Using, training, fine-tuning, or otherwise incorporating course content into any artificial intelligence, machine learning, or large language model without express prior written consent from TechOps Hub.
  • Repackaging or adapting course materials for publication on any platform, including YouTube, Udemy, Coursera, or social media.

Breach of this clause constitutes copyright infringement and entitles TechOps Hub to seek an injunction, damages (including lost profits and statutory damages), delivery up or destruction of infringing copies, and costs on a full indemnity basis.

6.4 No Guarantee of Outcomes

TechOps Hub is committed to delivering high-quality, world-class training. However, we make no representation and give no warranty — express or implied — regarding specific outcomes, including employment, salary levels, business success, project completion, certification, incubation acceptance, or investment. Outcomes depend on individual effort, commitment, prior experience, and external market conditions outside our control. Testimonials on our platform represent individual results only and are not to be construed as typical or guaranteed outcomes.

6.5 Attendance & Participation

Active and meaningful participation is a condition of continued enrolment. TechOps Hub reserves the right to remove members who consistently fail to meet minimum participation standards — without refund — to preserve the quality of experience for all enrolled participants. Specific attendance requirements will be communicated at programme commencement.

6.6 Certificates

Certificates of completion are issued solely at TechOps Hub's discretion upon satisfying all programme requirements. Certificates remain the Intellectual Property of TechOps Hub and may be revoked — with notice — where obtained through dishonest means, including academic fraud, impersonation, or plagiarism.

6.7 Programme Modifications

TechOps Hub reserves the absolute right to modify, update, restructure, or discontinue any programme, curriculum, module, or resource at any time. Where a programme is discontinued mid-enrolment, we will make reasonable efforts to offer a comparable substitute or a proportionate credit. We shall have no further liability in connection with such modification or discontinuation.

7. Incubation Programme & Equity Terms

This Section governs participation in the TechOps Hub Incubation Programme. By applying to or participating in the Incubation Programme, you agree to the terms below, which are additional to and supplement the general Terms in this document. In the event of conflict, the Definitive Agreement shall prevail over this Section.

7.1 Nature of the Incubation Programme

The Incubation Programme provides selected founders and teams with access to co-founder matching, product development infrastructure, mentorship, go-to-market support, community resources, and strategic introductions to investors and partners. TechOps Hub acts as a co-founding entity and early-stage strategic partner.

7.2 Equity Arrangement

In full and fair consideration of the resources, intellectual property, mentorship, infrastructure, introductions, co-founding support, and market access provided by TechOps Hub, TechOps Hub holds a 7% (seven percent) equity stake in every product or company incubated through the programme ("the Venture"). This equity is granted to TechOps Hub by the founding team as a condition of acceptance into the programme and is non-negotiable at the point of admission.

7.3 Vesting Schedule

The 7% equity stake vests progressively over 2 to 3 years tied to the following milestones:

  • Milestone 1 — First 100 Paying Users: upon reaching and sustaining at least 100 active paying users, the first tranche vests.
  • Milestone 2 — KES 1.3M / USD 10,000 MRR: upon achieving and sustaining monthly recurring revenue of at least USD 10,000 (or KES equivalent), the second tranche vests.
  • Milestone 3 — Full Vesting: full vesting of the 7% stake occurs upon the earlier of: (a) expiry of the agreed vesting period; (b) a liquidity event (acquisition, merger, Series A, or IPO); or (c) mutual written agreement. Where TechOps Hub's support contributed materially to a liquidity event, minimum vesting shall be the full 7% regardless of timeline.

Clawback: where a milestone is achieved through misrepresentation of metrics, falsification of data, or other dishonest means, TechOps Hub shall be entitled to claw back vested equity to the extent attributable to the misrepresentation, in addition to any other legal remedies available.

7.4 Anti-Dilution Protection

TechOps Hub's equity stake shall be subject to standard broad-based weighted-average anti-dilution protection. In the event of any equity issuance — including in connection with new funding rounds, convertible instruments, employee stock option pools, or otherwise — TechOps Hub's equity shall not be diluted below 5% prior to a Series A funding round, unless TechOps Hub provides its prior written consent. Post-Series A dilution shall be subject to the terms of the Definitive Agreement.

7.5 Right of First Refusal (ROFR)

Before any Founder transfers, sells, assigns, pledges, or otherwise disposes of any equity in the Venture (the "Offered Shares") to any third party, that Founder must first offer TechOps Hub the right to purchase the Offered Shares on the same terms and at the same price as the proposed third-party transaction. TechOps Hub shall have 21 calendar days from receipt of a written notice describing the proposed transfer and its terms to exercise or waive its right of first refusal. Any purported transfer in breach of this right shall be void and of no legal effect.

7.6 Tag-Along Rights

If any Founder proposes to sell or transfer equity to a third party that would result in a change of control of the Venture, TechOps Hub shall have the right, but not the obligation, to sell its equity stake in the Venture to the same purchaser on the same terms and at the same price per share (pro-rated). This right must be exercised by written notice to the selling Founder within 14 calendar days of receiving notice of the proposed transaction.

7.7 Information & Reporting Rights

As a condition of participation in the Incubation Programme, Founders agree to:

  • Provide TechOps Hub with quarterly management accounts (within 30 days of each quarter-end), including a profit & loss statement, balance sheet, and cash flow summary.
  • Provide annual audited or reviewed financial statements (where applicable) within 90 days of each financial year-end.
  • Provide a monthly KPI report including user numbers, revenue, churn rate, and other agreed metrics, within 15 days of each month-end.
  • Promptly notify TechOps Hub of any material developments, risks, or events affecting the Venture, including regulatory actions, key staff departures, funding discussions, or litigation.

7.8 Board Observer Rights

TechOps Hub shall be entitled, for the duration of its equity holding, to designate one observer to attend all board meetings, committee meetings, and shareholder meetings of the Venture in a non-voting capacity. TechOps Hub's observer shall receive all board papers, notices, and minutes at the same time as board members.

7.9 Shareholder Rights

TechOps Hub's equity stake entitles it to rights consistent with its shareholding under Kenyan company law and the Definitive Agreement, including: information rights, inspection of books and records, pro-rata participation rights in future funding rounds, and exit proceeds on a pari passu basis with other shareholders of the same class, subject to the terms of the Definitive Agreement.

7.10 Definitive Agreement

These Terms constitute the framework for the equity arrangement. Before or upon acceptance into the Incubation Programme, TechOps Hub and the Founders will execute a separate, detailed Incubation & Equity Agreement and/or Shareholders' Agreement governing equity mechanics, governance rights, founder obligations, IP assignment, exit provisions, and dispute resolution. In the event of conflict, the Definitive Agreement prevails. In the absence of a signed Definitive Agreement, this Section 7 shall constitute the binding equity arrangement between the parties.

7.11 IP in Incubated Ventures

All Intellectual Property developed by the Founders in connection with the incubated Venture belongs to the Venture, save for:

  • TechOps Hub's proprietary tools, frameworks, or infrastructure, which remain the exclusive IP of TechOps Hub at all times.
  • Any IP jointly developed using TechOps Hub resources, which shall be jointly owned as expressly agreed in the Definitive Agreement.
  • Any IP that is derived from or substantially based on TechOps Hub's Confidential Information, which shall be subject to the confidentiality and IP provisions of the Definitive Agreement.

7.12 Founder Obligations

  • Act in good faith and with full transparency in all dealings with TechOps Hub.
  • Provide accurate and timely information, reports, and documentation as requested.
  • Not engage in conduct that would materially harm the Venture, TechOps Hub, or TechOps Hub's reputation.
  • Disclose all conflicts of interest, parallel ventures, and any material changes to the Venture's business or team without delay.
  • Execute Definitive Agreement documentation promptly — and in any event within 30 days of acceptance into the programme.
  • Comply with all applicable laws in connection with the Venture, including company registration, tax obligations, and employment law.

7.13 No Guarantee of Success or Funding

Participation in the Incubation Programme does not constitute a guarantee of investment, funding, a successful product launch, or business viability. TechOps Hub's role is supportive and facilitative. All material business decisions remain the sole responsibility of the Founders.

7.14 Applicable Law

The equity arrangement is governed by the laws of the Republic of Kenya, including the Companies Act, 2015 and applicable contract law. Disputes are subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

8. Confidentiality & Non-Disclosure

8.1 Confidential Information

In the course of using TechOps Hub services — and particularly in connection with the Incubation Programme, cohort participation, and community activities — you may receive, access, or be exposed to information that is confidential, proprietary, or commercially sensitive, whether belonging to TechOps Hub or to other members ("Confidential Information"). Confidential Information includes, without limitation: business plans, product roadmaps, financial data, customer lists, source code, technical specifications, investment discussions, co-founder matching data, and any information explicitly designated as confidential.

8.2 Your Obligations

You agree that you will:

  • Hold all Confidential Information in strict confidence and not disclose it to any third party without prior written consent from the disclosing party.
  • Use Confidential Information solely for the purpose for which it was disclosed within the TechOps Hub programme or community.
  • Protect Confidential Information with at least the same degree of care you apply to your own confidential information, and in any event no less than a reasonable standard of care.
  • Not copy, reproduce, or retain Confidential Information beyond what is strictly necessary for the permitted purpose.
  • Promptly notify TechOps Hub in writing if you become aware of any unauthorised disclosure or use of Confidential Information.

8.3 Exclusions

The obligations in this Section do not apply to information that: (a) is or becomes publicly known other than through your breach of these Terms; (b) was already known to you before disclosure, as evidenced by written records; (c) is independently developed by you without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided you give the disclosing party maximum practicable prior written notice to enable them to seek a protective order.

8.4 Survival

This confidentiality obligation survives the termination or expiry of your membership and/or participation in the Incubation Programme for a period of 5 years from the date of last disclosure. For trade secrets, the obligation is perpetual.

8.5 Remedies

You acknowledge that a breach of this Section would cause TechOps Hub irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly, TechOps Hub shall be entitled to seek urgent injunctive relief, specific performance, and any other equitable remedy available under Kenyan law, in addition to damages and costs, without the requirement to post any bond or security.

9. Community Standards & Conduct

TechOps Hub maintains a community of engineers, students, professionals, researchers, and builders. To protect the integrity, safety, and quality of this community, the following standards are mandatory at all times and in all forums, both on and off the platform where TechOps Hub is involved:

9.1 Prohibited Conduct

  • Harassing, threatening, bullying, intimidating, or discriminating against any member, instructor, guest, or TechOps Hub team member on any ground, including race, gender, ethnic origin, religion, disability, sexual orientation, or nationality — contrary to the National Cohesion and Integration Act (Cap 170) and the Employment Act, 2007.
  • Posting, sharing, or transmitting content that is defamatory, obscene, hateful, discriminatory, or otherwise unlawful under Kenyan law.
  • Engaging in academic dishonesty, including plagiarism, cheating on assessments, submitting another person's work as your own, or using AI to complete assessments unless explicitly permitted in writing.
  • Soliciting, recruiting, or attempting to poach other members for competing programmes, alternative platforms, commercial ventures, or services without express prior written consent from TechOps Hub.
  • Disrupting, interrupting, or interfering with the delivery of any live session, workshop, programme, cohort, or event.
  • Spreading misinformation, disinformation, or false statements about TechOps Hub, its staff, or its members, whether on-platform or on social media.
  • Disclosing confidential information about other members' projects, ventures, or business ideas without explicit written consent — in breach of Section 8.

9.2 Consequences

Violations of these standards may result — at TechOps Hub's sole discretion — in a formal warning, temporary suspension, removal from a specific programme, or permanent ban from all TechOps Hub services. No refund shall be payable in connection with conduct-related termination. Serious violations — including conduct constituting an offence under the Computer Misuse and Cybercrimes Act, 2018, the National Cohesion and Integration Act, or other applicable law — will be reported to the relevant authorities, including the DCI and the National Cohesion and Integration Commission (NCIC).

10. Merchandise & Swag Store

10.1 Orders & Contract Formation

Merchandise orders placed through the TechOps Hub Swag Store constitute a purchase request only. A binding contract of sale is formed only upon TechOps Hub issuing a written order confirmation. We reserve the right to cancel any order at our discretion, including in cases of pricing errors, stock unavailability, or suspected fraudulent activity. Cancellations will be communicated promptly.

10.2 Pricing & Currency

Prices are denominated in USD unless stated otherwise. KES equivalents are communicated based on the prevailing rate at checkout. Prices may change without notice; however, confirmed orders will be honoured at the price stated at the time of order confirmation. TechOps Hub is not liable for typographical pricing errors and reserves the right to correct and cancel orders resulting from such errors.

10.3 Payment for Merchandise

Merchandise payments follow the same authorised channels described in Section 5.2. Payments can be made both through the platform and off-platform as communicated in the order confirmation. TechOps Hub does not collect or store payment card information directly.

10.4 Shipping, Delivery & Risk

Delivery timelines are estimates and are not guaranteed. Risk of loss and title to merchandise passes to you upon handover to the designated shipping carrier. TechOps Hub is not responsible for delays caused by third-party couriers, customs, force majeure, or other circumstances beyond our control. We will initiate carrier claims on your behalf for lost or damaged items but shall not be liable beyond the value of the order.

10.5 Returns & Refunds

In accordance with the Consumer Protection Act, 2012:

  • Defective or significantly mis-described goods: claims must be raised within 7 days of delivery by contacting support@techopsshub.com with photographic evidence. Remedy: replacement, repair, or full refund at TechOps Hub's election.
  • Change of mind: not accepted. All merchandise is custom-produced and bespoke. No returns or refunds on change-of-mind grounds once an order is confirmed.

Approved refunds are processed within 14 Working Days via original payment method.

10.6 IP on Merchandise

All TechOps Hub branding, logos, and designs are protected under the Copyright Act (Cap 130) and applicable trademark law. Purchase of merchandise grants no licence to reproduce, commercialise, or create derivative works from any TechOps Hub intellectual property.

11. Events & Registrations

11.1 Registration & Conduct

By registering for any TechOps Hub event — including workshops, webinars, hackathons, bootcamps, meetups, and conferences — you agree to abide by all event-specific rules, these Terms, and our community standards in Section 9.

11.2 Cancellations by TechOps Hub

TechOps Hub may cancel, postpone, or modify any event at any time. In the event of cancellation, registered participants will be notified via email at the earliest opportunity. Where fees have been paid, a full refund or equivalent alternative will be offered. TechOps Hub shall have no further liability to participants in connection with such cancellation.

11.3 Participant Cancellations

Please notify support@techopsshub.com as soon as possible if you cannot attend. Refund eligibility:

  • More than 7 days before the event: full refund.
  • 3–7 days before: 50% refund or transfer to a future event.
  • Fewer than 3 days before: no refund; discretionary transfer to a future equivalent event may be arranged.

11.4 Recording & Media Consent

TechOps Hub events may be recorded for educational, archival, or promotional purposes. By attending, you grant TechOps Hub an unconditional, royalty-free, irrevocable, worldwide licence to record, photograph, and broadcast the event — including your likeness and voice — in any media format, now or hereafter devised. Objections must be submitted in writing at least 48 hours before the event. TechOps Hub retains all IP rights in event recordings.

11.5 Conduct at Events

Disruptive, abusive, or inappropriate behaviour results in immediate removal without refund. Physical events are subject to venue rules and applicable Kenyan public conduct laws.

12. Intellectual Property

12.1 TechOps Hub IP

All content, software, designs, frameworks, methodologies, curricula, logos, and trade names on the TechOps Hub platform are the exclusive Intellectual Property of TechOps Hub or its licensors, protected under the Copyright Act (Cap 130), the Industrial Property Act (Cap 509), and applicable international IP treaties, including the Berne Convention and the Paris Convention. Unauthorised use constitutes infringement and may attract both civil and criminal liability.

12.2 Limited Licence to You

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access the platform and use its content solely for personal, non-commercial educational purposes. This licence excludes all rights to sublicense, sell, modify, adapt, translate, reverse-engineer, decompile, or create derivative works.

12.3 Licence from You

Any content you submit to TechOps Hub — including project submissions, portfolio work, forum posts, and feedback — remains your intellectual property. However, by submitting, you grant TechOps Hub an irrevocable, non-exclusive, royalty-free, sublicensable, worldwide licence to use, reproduce, adapt, display, distribute, and publish that content for the purposes of: (i) operating and improving our services; (ii) marketing, press, and promotional activities; (iii) showcasing member work to investors, partners, and the public; and (iv) in any media format now known or later developed. You warrant that you own or have the right to grant this licence and that your content does not infringe any third-party rights.

12.4 Feedback

Any feedback, suggestions, or ideas you provide may be used by TechOps Hub freely and without compensation, attribution, or obligation.

12.5 Infringement Reports

To report IP infringement, contact legal@techopsshub.com with: (i) a description of the protected work; (ii) the specific URL of the allegedly infringing content; (iii) your contact information; and (iv) a good-faith statement that the use is not authorised.

13. Privacy & Data Protection

Our collection, use, protection, and processing of your personal information is governed by our Privacy Policy, which forms an integral and binding part of these Terms. By using TechOps Hub, you consent to the data practices described therein.

We comply with the Kenya Data Protection Act, 2019 (Act No. 24 of 2019), the Data Protection (General) Regulations, 2021, and the Data Protection (Registration of Data Controllers and Data Processors) Regulations, 2021. Where our operations involve data subjects in other jurisdictions, we respect applicable international data protection standards.

You have the right to access, correct, restrict, port, and request deletion of your personal data at any time. For full details of your rights and how to exercise them, see our Privacy Policy.

14. Third-Party Services & Links

Our platform may contain links to third-party websites or services. These are provided for convenience only. TechOps Hub has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party service. Their inclusion does not imply endorsement or partnership.

We currently use the following third-party services in our operations:

  • Google Gmail SMTP — transactional email delivery. Subject to Google's Terms of Service.
  • DigitalOcean — backend hosting and database infrastructure.
  • Safaricom M-Pesa — mobile money payment processing. Subject to Safaricom's Terms.

You access all third-party services at your own risk and subject to their own terms and privacy policies. TechOps Hub shall not be liable for any loss or damage arising from your use of third-party services.

15. Prohibited Activities

In addition to Section 9, the following activities are strictly prohibited on or in connection with the TechOps Hub platform and may constitute criminal offences under the Computer Misuse and Cybercrimes Act, 2018:

  • Attempting to gain unauthorised access to any part of our systems, other user accounts, administrative interfaces, or servers (contrary to CMCA 2018, s.15).
  • Using automated tools — bots, scrapers, crawlers, spiders — to extract data, content, or user information without prior written consent (contrary to CMCA 2018, s.15).
  • Introducing malicious code, viruses, trojans, ransomware, spyware, or any form of malware into our systems or those of our users (contrary to CMCA 2018, ss.16–17).
  • Intercepting, monitoring, or tampering with electronic communications on our platform (contrary to CMCA 2018, s.18).
  • Reverse-engineering, decompiling, or disassembling any software forming part of our platform.
  • Transmitting unsolicited commercial communications (spam) or conducting phishing activities through or in connection with our platform.
  • Mining cryptocurrency or conducting unauthorised compute-intensive operations on our infrastructure.
  • Circumventing, disabling, or bypassing any security or access-control measures (contrary to CMCA 2018, s.15).
  • Conducting denial-of-service attacks or overloading our infrastructure (contrary to CMCA 2018, s.16).
  • Registering accounts for competitive intelligence gathering, data harvesting, or member surveillance.
  • Falsifying identity, payment records, certificates of completion, or any other TechOps Hub documentation — contrary to the Penal Code (Cap 63).
  • Engaging in money laundering, financing of terrorism, or any activity prohibited under the Proceeds of Crime and Anti-Money Laundering Act (Cap 59B).

Violations may result in immediate account termination, civil proceedings for injunction and damages (including on a full indemnity basis), and referral to the Directorate of Criminal Investigations (DCI) Cybercrime Unit and any other relevant authority.

16. Disclaimers & Warranties

16.1 Platform Availability

TechOps Hub provides the platform on a reasonable-efforts basis but gives no guarantee — express or implied — of uninterrupted, error-free, or continuous availability. We reserve the right to suspend, modify, or discontinue any part of the platform at any time without notice or liability.

16.2 "As Is" & "As Available"

The platform and all content are provided "as is" and "as available", without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement, to the fullest extent permitted by applicable law. Nothing in these Terms excludes rights that cannot be contractually excluded under the Consumer Protection Act, 2012.

16.3 No Professional Advice

Nothing on the TechOps Hub platform constitutes legal, financial, investment, tax, career, or professional advice. All content is for educational and informational purposes only. You should obtain independent qualified professional advice before making any decision based on content encountered on our platform.

16.4 External Opportunities

Any mention of employment opportunities, partnerships, investor introductions, or business connections is made in good faith for informational purposes only. TechOps Hub is not a licensed recruiter, employment agency, investment adviser, or financial services provider and does not guarantee the availability, quality, or terms of any such opportunity.

17. Limitation of Liability

To the absolute maximum extent permitted by applicable law, TechOps Hub, its directors, shareholders, officers, employees, instructors, partners, contractors, and agents (collectively, "TechOps Hub Parties") shall not be liable to you for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Loss of profits, revenue, income, business, contracts, goodwill, or anticipated savings.
  • Loss, corruption, unavailability, or unauthorised access to data or systems.
  • Loss of commercial opportunity, market share, or competitive advantage.
  • Costs of procuring substitute services, programmes, or software.
  • Claims arising from the conduct, content, or services of any third party.
  • Reputational harm or emotional distress.
  • Any loss arising from reliance on the accuracy, completeness, or currency of any content on the platform.

This limitation applies regardless of the legal theory under which any claim is brought — contract, tort (including negligence), breach of statutory duty, strict liability, or otherwise — and even if the TechOps Hub Parties have been advised of the possibility of such loss.

Aggregate liability cap: the total aggregate liability of the TechOps Hub Parties to you for all claims arising under or in connection with these Terms, the platform, or the services, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total amount actually paid by you to TechOps Hub in the 12 calendar months immediately preceding the event giving rise to the claim, or (b) USD 100 (one hundred United States Dollars).

Limitation period: any claim or cause of action arising out of or related to these Terms or the services must be commenced within 12 months of the date on which the cause of action arose or the date you became aware (or reasonably should have become aware) of the facts giving rise to the claim. Claims not commenced within this period are permanently time-barred, to the fullest extent permitted by the Limitation of Actions Act (Cap 22).

Nothing in these Terms limits or excludes liability for: (i) death or personal injury caused by TechOps Hub's proven negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot lawfully be excluded under the Consumer Protection Act, 2012 or other mandatory applicable Kenyan law.

18. Indemnification

You agree to fully, unconditionally, and irrevocably indemnify, defend, and hold harmless TechOps Hub, its directors, shareholders, officers, employees, instructors, partners, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including legal fees on a full solicitor-client indemnity basis) arising from or in connection with:

  • Your use of or access to the platform or services in violation of these Terms.
  • Your breach of any representation, warranty, or obligation under these Terms.
  • Your violation of any applicable law, including the Computer Misuse and Cybercrimes Act, 2018, the Kenya Data Protection Act, 2019, or the rights of any third party.
  • Any content or materials you submit, post, share, or transmit through our platform that infringes any Intellectual Property Right or other right of a third party.
  • Your participation in the Incubation Programme in breach of Section 7.
  • Any tax, levy, or regulatory penalty arising from your use of the services.
  • Any claim brought against TechOps Hub by a third party arising from your acts or omissions.

TechOps Hub reserves the right, at its own expense, to assume exclusive control of the defence of any matter subject to indemnification, in which case you agree to cooperate fully with TechOps Hub and its legal representatives. You shall not settle any claim that imposes any obligation or liability on TechOps Hub without its prior written consent.

19. Dispute Resolution

19.1 Mandatory Pre-Litigation Notice

Before initiating any formal legal proceedings against TechOps Hub, you must first deliver a written notice of dispute to legal@techopsshub.com specifying: (i) the full nature and particulars of the dispute; (ii) the specific relief or remedy sought; and (iii) your full contact details. TechOps Hub will acknowledge receipt within 5 Working Days and make every reasonable effort to resolve the matter within 30 calendar days of receipt. No legal proceedings may be commenced until this notice and waiting period have been exhausted.

19.2 Mediation

If the dispute is not resolved through direct negotiation within 30 days, both parties agree to attempt resolution through formal mediation before a mutually agreed, independent mediator, conducted in Nairobi, Kenya. Costs of mediation shall be shared equally unless otherwise agreed. Each party shall bear its own legal costs during mediation.

19.3 Governing Law

These Terms and any dispute or claim arising out of or in connection with them — including non-contractual claims — shall be governed by and construed exclusively in accordance with the laws of the Republic of Kenya, without regard to its conflict-of-laws rules. Nothing herein shall affect any mandatory consumer protection rights under Kenyan law.

19.4 Exclusive Jurisdiction

Any dispute that is not resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the High Court of Kenya, Nairobi. Both parties irrevocably and unconditionally submit to the personal jurisdiction of this court and waive any objection to proceedings in Nairobi on grounds of inconvenient forum or otherwise.

19.5 No Class Actions

To the maximum extent permitted by applicable Kenyan law, all disputes must be brought on an individual basis only. You hereby irrevocably waive any right to bring or participate in any class action, consolidated action, or representative proceeding against TechOps Hub.

19.6 Injunctive Relief

Notwithstanding any other provision of this Section, TechOps Hub shall at all times be entitled to seek urgent injunctive or other equitable relief from the High Court of Kenya — including an interlocutory injunction — without prior notice, without complying with the pre-litigation requirements of Section 19.1, and without posting any bond or surety, where necessary to protect its Intellectual Property Rights, Confidential Information, or any other legitimate interest.

19.7 Costs

In any dispute where TechOps Hub substantially prevails — whether resolved through mediation, court proceedings, or otherwise — you agree to reimburse TechOps Hub for all reasonable legal costs and expenses on a full solicitor-client indemnity basis. This clause is in addition to, and does not limit, any costs order that may be made by a court.

19.8 Regulatory Rights Preserved

Nothing in this Section restricts any rights you may have under the Consumer Protection Act, 2012 to lodge a complaint with the Competition Authority of Kenya or any other applicable regulatory or supervisory body.

20. Changes to These Terms

TechOps Hub reserves the right to amend these Terms at any time. For material changes (those that materially affect your rights or obligations), we will:

  • Update the "Effective Date" at the top of this page.
  • Notify registered members by email at least 14 days before the changes take effect, except where immediate amendment is required by law or regulatory directive.
  • Where required by law, obtain fresh consent for any new processing of your personal data.

Your continued use of the platform after the updated Terms take effect constitutes your unconditional acceptance of the revised Terms. If you do not accept any change, you must immediately cease use of the platform and, if desired, submit a written account deletion request.

TechOps Hub may also make non-material changes (corrections, clarifications, structural improvements that do not alter your rights or obligations) at any time without prior notice. The Effective Date will always be updated.

21. Miscellaneous

21.1 Entire Agreement

These Terms, together with the Privacy Policy, any programme-specific agreement, and the Definitive Agreement (where applicable), constitute the entire agreement between you and TechOps Hub with respect to the platform and services, and supersede all prior and contemporaneous negotiations, representations, warranties, and agreements — written or oral — relating to the same subject matter. No extrinsic evidence shall be admitted to vary, qualify, or contradict these Terms.

21.2 Electronic Formation

You acknowledge that these Terms are formed electronically and are fully binding under the Kenya Information and Communications Act (Cap 411A) and the Law of Contract Act (Cap 23). You waive any right to assert that these Terms are invalid or unenforceable solely because they were concluded electronically.

21.3 Acknowledgment

You confirm that you have read, understood, and had the opportunity to seek independent legal advice on these Terms before accepting them. You accept these Terms freely and voluntarily and acknowledge that they are fair and reasonable in all the circumstances.

21.4 Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if impossible, severed from the Terms. The remaining provisions shall continue in full force and effect and shall be construed so as to give effect to the original intention of the parties as expressed in the severed provision.

21.5 No Waiver

No failure or delay by TechOps Hub to exercise, and no course of conduct in relation to, any right, power, or privilege under these Terms shall operate as a waiver of that right. No single or partial exercise of any right shall preclude any other or further exercise. No waiver shall be binding unless made expressly in writing and signed by an authorised director of TechOps Hub.

21.6 Cumulative Remedies

All rights and remedies available to TechOps Hub under these Terms, at law, or in equity are cumulative and non-exclusive, and the exercise of any one remedy shall not prevent the exercise of any other remedy.

21.7 Assignment

You may not assign, transfer, sub-licence, charge, or otherwise encumber your rights or obligations under these Terms — in whole or in part — without the prior written consent of TechOps Hub. TechOps Hub may assign, novate, or transfer its rights and obligations under these Terms to any successor entity or affiliate without restriction, provided the successor is bound by these Terms.

21.8 Force Majeure

TechOps Hub shall not be in breach of these Terms or otherwise liable for any failure or delay in performing its obligations where such failure or delay arises from any cause beyond its reasonable control, including but not limited to: acts of God, fire, flood, earthquake, epidemic, pandemic, war, civil unrest, government action, regulatory changes, labour disputes, power or internet infrastructure failures, third-party service provider failures, or cyberattacks. TechOps Hub will resume performance as soon as reasonably practicable following the cessation of the force majeure event.

21.9 Relationship of the Parties

Nothing in these Terms creates or implies a partnership, joint venture, agency, employment, or franchise relationship between you and TechOps Hub, except as expressly provided in Section 7. You have no authority to bind TechOps Hub in any manner. TechOps Hub's personnel are not your agents or employees.

21.10 Survival

The following provisions shall survive termination or expiry of these Terms indefinitely (or for the periods specified): Section 1 (Acceptance), Section 8 (Confidentiality — 5 years), Section 12 (Intellectual Property), Section 14 (Third-Party Liability Disclaimers), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 19 (Dispute Resolution), and Section 21 (Miscellaneous).

21.11 Language

These Terms are executed in the English language. In the event of any conflict or inconsistency between an English original and any translation, the English version shall prevail. The courts of Kenya shall interpret these Terms in English.

21.12 Notices

All formal notices under these Terms must be in writing. Notices to TechOps Hub must be sent by email to legal@techopsshub.com with acknowledgment of receipt requested. Notices to you will be sent to the email address registered on your account. Notices sent by email shall be deemed received 24 hours after transmission, unless the sender receives an automated non-delivery notification.
